TERMS & CONDITIONS

1. All orders are subject to these conditions unless expressly agreed by the parties hereto in writing, no addition or modification will be applicable.
2. In these Conditions, the following expressions shall have the meaning set out:
   'BA' shall mean The Booksellers Association of the UK & Ireland Ltd.
   'the Purchaser' shall mean the party placing the order.
   'Addresses' shall mean the person described on any name and address labels/lists supplied by the BA.
   'the Materials' shall mean any name and address label, or other materials supplied by the BA to the Purchaser in respect of the order.
3.  
   1. The price for labels/lists is exclusive of VAT but includes postage and packing in the UK and Ireland.
   2. The minimum order shall be for 100 names.
   3. Payment shall be made prior to delivery of the Materials by the BA unless the Purchaser has an account with the BA, in which case payment shall be made in accordance with the normal terms of such account.
   4. A refund of 10p may be given in relation to each label/name where delivery is not made because of some error in the information contained in the Materials.
4. Restrictions;
   1. Copyright and all other proprietary rights which may exist in the Materials shall belong to the BA absolutely.
   2. The Purchaser shall make no use of the Materials or of any information therein contained other than write to the Addressees on one occasion only and shall not be entitled to copy, reproduce, store on any computer or other information retrieval system, disclose, pass on or divulge any information whatsoever contained in the Material.
5. The Purchaser shall not send to any Addressee any publications or printed matter which may be obscene, blasphemous, defamatory or illegal in nature and shall fully indemnify the BA in relation to any liability whatsoever arising as a result of the Purchaser´s failure to comply with his obligations hereunder.
6. The sale by the BA to the Purchaser of Materials hereunder shall not prevent the BA from selling the Materials to any other party.
7. No warranty is given by the BA as to the accuracy of the information contained in the Materials and its liability shall be limited to the amount of any refund made pursuant to paragraph 3 (iv) above.
8. These terms and conditions shall be governed by English law.
